If you do not agree to these Terms, including Our Privacy Policy, you have no right to obtain information from or otherwise continue using the Platform or Platform Services. These Terms constitute a legally binding agreement between you and Us regarding your use of the Platform and the services that allow Us to act as a facilitator between the users of the Platform. These Terms apply to all users. Additional terms specific to your role apply as set out in Section 6 (Registering an Account) and throughout these Terms, and are read together with the general Terms below.
3. Eligibility
Individuals who visit the Site to avail the Platform Services are referred to as “Users”. You must be at least 18 years of age to access or use the Platform. The Platform is not intended for, and may not be used by, minors (persons below 18 years of age) under any circumstances. 4. Description of Service
Social Tweebs is an influencer marketing agency that connects Brand Owners with Influencers and provides technology and creative services to plan, execute and measure influencer marketing campaigns. The Platform enables Influencers to create and distribute sponsored posts on their social media channels such as X (formerly Twitter), Instagram, YouTube and/or Facebook, and enables Brand Owners and Influencers to collaborate on paid content. The Platform Services include, among others:
Influencer discovery: tools that help Brand Owners identify, evaluate and shortlist prospective Influencers using in-house technology and third-party data;
Campaign tracking: tools to plan, manage and monitor the performance of campaigns and individual Influencers;
Social sentiment tracking: tools that analyse publicly available social media signals to help assess audience response and brand sentiment; and
Creative tools: technology that supports the creative needs of the influencer marketing industry, serving both the brand side and the creator side (for example, ideation, content briefs, and creative production support).
Certain features are delivered through Our in-house technology and certain features rely on third-party data, APIs or service providers, as described elsewhere in these Terms and in Our Privacy Policy. We may add, modify or discontinue any feature in accordance with these Terms.
5. No Endorsement
You understand and agree that We are not involved in the agreements and communications between users and do not refer, endorse or recommend particular Brands or Influencers. Users are responsible for investigating and verifying, to the extent they deem necessary, the identity and credentials of other users contacted via the Platform.
By using the Platform Services, you agree that any legal remedy or liability you seek to obtain for the acts or omissions of other users or third parties will be limited to a claim against the particular user(s) or third party(ies) who caused you harm, and you agree not to attempt to impose liability on, or seek any legal remedy from, Us with respect to such acts or omissions.
By accessing, browsing or using the Platform, you acknowledge that We are not responsible or liable in any manner to comply with any local laws of your territory if Our services are not specifically being provided in your territory.
6. Registering an Account
Brand Owner: To register as a Brand Owner, you must access the Campaign Building feature on the Platform and log in by providing your full name, email address, telephone number and password. Payment terms and methods for each campaign are agreed mutually between the Brand Owner and the Influencer before the campaign commences, as set out in Section 9 (Fees and Payments).
Influencer: To register as an Influencer, you will create an account directly on the Platform (website) by providing your full name, email address, telephone number and password, and by connecting the relevant social media account(s) where required. No mobile application download is required to use the Platform.
All information provided when registering an account must be current, correct and complete. Incomplete, ineligible or incomprehensible account registrations will not be valid. You must be logged in to your account in the manner required each time you wish to use the Platform. You may never use another’s account without their permission.
You are responsible for maintaining the strict confidentiality of your account details and for any activity under your account. You agree to immediately notify Us at hello@socialtweebs.com of any unauthorised use of your account or any other breach of security. It is your sole responsibility to control access to and use of your account and to notify Us when you wish to cancel your account. We will not be responsible or liable for any loss or damage arising from your failure to comply with this provision.
The use of any automated software, or any other mechanical or electronic means allowing a person to create accounts, is prohibited. We reserve the right to suspend or terminate your account if We believe you are engaging in such activity.
Users understand that in creating an account they are providing their information to Us and not to any social media platform. Users of the Platform (whether Influencers or Brands) are solely responsible and liable for any content or information they transmit to other users. To the extent permitted by law, each user agrees to indemnify, defend and hold harmless all social media platforms and their associated agencies and companies against any and all losses, actions, claims, costs, expenses and damages (of any nature) which may be incurred in respect of the user’s use of the Platform.
Any questions, comments or complaints about the Platform must be directed to Us at hello@socialtweebs.com, and not to any media or social media platform. We reserve the right to refuse or cancel registration of an account for any reason in Our sole discretion, subject to applicable law.
7. Modules
The Platform comprises two separate modules: (a) Discovery Module
This feature provides for the discovery of potential Influencers listed on the Platform or on other social media sites, solely for the purpose of discovering prospective Influencers. In this module We show a list of Influencers to Brand Owners.
Through Our third-party data recommendation system, We may also share an Influencer’s profile/proposal with Brand Owners. The data pertaining to any Influencer that We share with Brand Owners has been provided by third parties. Although We try to cross-check this data, We do not warrant that the information provided is absolutely accurate or up to date, and We are not liable for any information on the Platform that may be inaccurate or misleading.
If you come across any such discrepancy, please contact Us at hello@socialtweebs.com.
(b) Campaign Creation Module
This feature provides a mechanism to create an end-to-end campaign among users. The module also provides an in-app chat system through which users may contact each other. You agree that you will not negotiate any terms or payment with other users outside the Platform. “Circumvention” means soliciting, negotiating, contracting for, or making payment for Platform Services outside the Platform with a counterparty first identified through the Platform. Circumvention may result in suspension or removal from the Platform, in each case in a manner proportionate to the breach and subject to applicable law.
Once a Brand Owner makes a campaign live, the Influencer receives a notification on their registered account. A Brand may reach out to a set of Influencers they are interested in working with. The Brand Owner may direct Influencers with their own set of requirements to create the desired paid content and social media posts (“Content”) and may send Influencers specific products for the campaign. Users are solely responsible for creating all paid content and posts that form part of their campaign.
You understand and acknowledge that We do not edit, modify, filter, screen, monitor, endorse or guarantee content or the content of communications between users, save as expressly set out in these Terms.
8. Post-Campaign Analysis
The Platform provides post-campaign analysis. Overall performance and individual Influencer performance are shown to the Brand Owner on their dashboard through a third-party API. The Influencer can also check their performance on the dashboard provided on the Platform.
9. Fees and Payments
The campaign budget, the payment terms, the payment method and the payment schedule are mutually agreed between the Brand Owner and the Influencer before the commencement of any campaign. The Platform records and reflects the terms so agreed. We charge a nominal commission in accordance with the terms agreed at the time of engagement.
For the purpose of processing or facilitating payments, a user may be asked to provide financial details, including their nominated bank account or payment gateway account details, and whether or not they are registered for GST (in India). It is the user’s responsibility to notify Us if they are registered for and liable to pay GST, and to keep Us updated with their registered GST details as applicable.
10. Intellectual Property Rights
For Influencers In consideration of payment received by the Influencer, and subject to the limitations below, the Influencer agrees to grant, in respect of each and every post:
To Us (and Our agents): a royalty-free, worldwide, non-exclusive, transferable licence to edit, re-format and use the post for the purpose of marketing and promoting Us (and Our products and services) across paid, owned, social and earned media. This licence subsists for a period of twelve (12) months from the date the post is first published, after which the licence expires unless renewed by mutual written agreement through the Platform for separate consideration. Any use of the Influencer’s identity or performance beyond this period, or outside the scope described above, requires a fresh licence granted through the Platform for separate consideration.
To the relevant Brand (and its agents): the right to organically share, comment upon and organically re-post the relevant post on the social media channel on which it was published, for a period of thirty (30) days expiring at 11:59 pm on the thirtieth day after the post was first published; and the right to use the Influencer’s identity and performance in the post in earned media or public relations activity, for the same thirty (30) day period.
In the event that the Brand Owner wishes to reproduce the content on other social media sites or beyond the periods stated above, the Brand Owner must procure a separate licence from the Influencer for separate consideration. Any such licence shall be granted through the Platform only.
11. Shipping
Users may avail the services of an integrated third-party shipping module to ship and track products to one another. The shipping service is maintained and controlled by a third party, and any shipping order is subject to the terms and conditions of that third-party service. We are not liable for any transactions made on the shipping service. You are requested to read the terms and conditions of the shipping service before use.

We may also discontinue the Platform or any part thereof, or limit or restrict user access, with or without notice, subject to applicable law.
We retain the right and discretion to terminate your account and/or access to the Platform if We reasonably believe that you are abusing or tampering with the Platform, that you have breached these Terms, or that you have engaged in any unlawful, unethical or other misconduct calculated to jeopardise the proper administration of the Platform. Where We take any such action, We will, where reasonably practicable and not prohibited by law or by a legal or regulatory requirement, provide you with notice. Neither We nor any of Our affiliates shall have any liability to you or any other person for any termination of access to the Platform, or the removal or deactivation of any submissions, information or data, save to the extent such liability cannot be excluded under applicable law. You may discontinue your access to, use of, or participation in the Platform at any time.

To the maximum extent permitted by applicable law, the service is provided on an “as is” and “as available” basis without warranty of any kind, express or implied. You assume sole risk and responsibility for selecting Our services to achieve your intended results, and for the installation, use and results obtained from the Platform. In any event, and to the extent permitted by applicable law, Our total aggregate liability arising out of or in connection with these Terms shall not exceed the total amount of commission or fees actually paid by you to Us in the twelve (12) months immediately preceding the event giving rise to the claim.

These Campaign & Service Terms and Conditions (“T&C”) govern the commercial engagement of Social Tweebs (a brand of Ventes Avenues Pvt. Ltd.) (“Social Tweebs”, “We”, “Us” or “Our”) for the planning, execution, tracking and delivery of influencer marketing campaigns and related creative services. These T&C apply in addition to, and are to be read together with, Our Terms of Use and Privacy Policy. In the event of a conflict between these T&C and the Terms of Use in relation to a specific paid engagement, these T&C shall prevail for that engagement.
1. Definitions
“Brand” or “Client” means the brand owner, advertiser, business or entity that engages Social Tweebs and/or Influencers for a Campaign.
“Influencer” or “Creator” means the content creator who provides content and/or promotional services in connection with a Campaign.
“Campaign” means a specific influencer marketing engagement described in a Statement of Work, campaign brief, proposal, insertion order or written confirmation (each, an “Order”) accepted in accordance with Clause 2.
“Deliverables” means the content, posts, stories, videos, reels, reports or other outputs to be created or provided under an Order.
“Fees” means the amounts payable for a Campaign, including any Social Tweebs service fee or commission, as set out in the applicable Order.
2. Engagement Models and How an Order Is Formed
Social Tweebs operates under two engagement models, applied on a per-Campaign basis as recorded in the applicable Order:
Agency model: the Brand engages Social Tweebs to plan, manage and deliver the Campaign, and Social Tweebs in turn coordinates the Influencer(s). In this model, Social Tweebs is the Brand’s contracting counterparty for the agreed scope, and Influencers are engaged by or through Social Tweebs.
Facilitation model: the Brand and the Influencer contract directly with each other, and Social Tweebs acts as a facilitator providing the Platform, technology and, where agreed, support services. In this model, the primary campaign contract is between the Brand and the Influencer, and Social Tweebs’ responsibility is limited to the facilitation and support services expressly agreed.
The applicable model for each Campaign is specified in the Order. Where the Order is silent, the facilitation model applies by default. An Order is formed and becomes binding when it is accepted in writing (including by email or through the Platform) by the party to be charged, or when work commences with that party’s authorisation, whichever is earlier.
3. Scope of Services
Social Tweebs’ services may include, as specified in the Order:
influencer discovery and shortlisting;
campaign strategy and creative development;
content briefs and creative production support;
coordination of Deliverables;
campaign tracking and reporting; and
social sentiment tracking.
Any service not expressly described in the Order is outside scope. Changes to scope must be agreed in writing and may result in an adjustment to Fees and timelines.
4. Fees, Taxes and Payment
The Campaign budget, Fees, payment method and payment schedule are agreed mutually between the parties and recorded in the applicable Order before the Campaign commences. Unless the Order states otherwise:
Fees are exclusive of Goods and Services Tax (GST) and other applicable taxes, which will be charged additionally at the prevailing rate and are payable by the Client;
invoices are payable within the period stated in the Order (or, if none is stated, within fifteen (15) days of the invoice date);
where an Order requires an advance or booking amount, the Campaign will commence only upon receipt of that amount; and
amounts not paid by the due date may attract interest at the rate stated in the Order (or, if none is stated, at 1.5% per month or the maximum permitted by law, whichever is lower), and Social Tweebs may suspend services and/or withhold Deliverables until overdue amounts are cleared.
Each party is responsible for its own tax obligations, including the deduction of tax at source (TDS) where applicable. In the facilitation model, payment obligations between the Brand and the Influencer are as agreed directly between them; Social Tweebs is responsible only for its own service fee or commission as set out in the Order.
5. Deliverables, Approvals and Timelines
Deliverables, formats, quantities, platforms, posting windows and timelines are as set out in the Order.
The Client will provide briefs, brand assets, product samples, approvals and feedback promptly and within the timelines stated in the Order.
The Order will specify the number of revision rounds included; additional revisions, changes requested after approval, or delays caused by the Client may result in adjusted timelines and additional Fees.
Content is deemed approved if the Client does not provide consolidated feedback within the review period stated in the Order.
6. Influencer / Creator Obligations and Advertising Disclosures
Influencers agree to create and publish Deliverables in accordance with the Order and to keep them live for the minimum period stated in the Order. Influencers are solely responsible for the accuracy and lawfulness of claims they make and must not make false, misleading or unsubstantiated claims.
Advertising disclosure: All Influencers must comply with applicable advertising and disclosure laws and guidelines, including the Advertising Standards Council of India (ASCI) Guidelines for Influencer Advertising on Digital Media and the Consumer Protection Act, 2019 and rules thereunder. Sponsored or paid Deliverables must carry a clear and prominent disclosure label (such as #ad, #sponsored, #collaboration or #partnership) in a manner that is upfront and not easily missed.
Social Tweebs may require the Influencer to correct or re-post non-compliant Deliverables at the Influencer’s cost.
7. Brand / Client Obligations
The Client warrants that any brand assets, products, trademarks, claims and information it supplies are accurate, lawful and do not infringe third-party rights, and that any product or service promoted complies with applicable law. The Client is responsible for the accuracy of product claims it requires Influencers to communicate and will indemnify the Indemnified Parties in respect of such claims as set out in Clause 12.
8. Cancellation, Rescheduling and Refunds
Fees are non-refundable once work on a Campaign has commenced or a booking has been confirmed with an Influencer.
If a Campaign is cancelled after an Order is confirmed but before work commences, any booking or advance amount may be forfeited to the extent of costs and commitments already incurred.
Once creative work, influencer booking or production has commenced, no refund is payable for the committed portion, although the parties may, at Social Tweebs’ discretion, agree to reschedule the Campaign or apply amounts paid as credit towards a future Campaign.
Amounts payable to third parties (including Influencers and vendors) that have already been committed are non-refundable.
Social Tweebs may cancel or suspend a Campaign if the Client fails to make payment when due, fails to provide required assets or approvals, or is in material breach of these T&C or the Terms of Use.
9. Performance Disclaimer
Social Tweebs does not guarantee any specific reach, impressions, engagement, views, clicks, conversions, sales or other campaign outcomes. Such metrics depend on factors outside Our control, including third-party platform algorithms, audience behaviour and Influencer performance. Any projections or estimates are indicative only and do not constitute a warranty. Reporting is compiled using third-party APIs and analytics, and Social Tweebs is not responsible for the accuracy of data provided by such third parties.
10. Intellectual Property and Usage Rights
Ownership and licensing of Campaign content are as set out in the Order and, for Influencer content, are additionally governed by the Intellectual Property Rights clause of the Terms of Use.
Unless the Order states otherwise, usage rights granted to the Client are limited to the media, territory and duration specified in the Order; any use beyond that scope (including whitelisting, paid amplification or reuse on other channels or after the stated period) requires a separate licence for separate consideration, agreed through Social Tweebs.
Each party retains ownership of its pre-existing intellectual property and brand assets.
11. Confidentiality
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with a Campaign, including budgets, strategies, rates and business information, and to use it only for the purpose of the Campaign. This obligation does not apply to information that is or becomes public through no fault of the receiving party, or that is required to be disclosed by law or a regulatory authority.
12. Indemnity
The Client shall indemnify, defend and hold harmless the Indemnified Parties (as defined in the Terms of Use) from and against any claims, liabilities, damages, losses, costs and expenses arising out of:
the products or services promoted in the Campaign;
claims, assets or instructions supplied by the Client;
the Client’s breach of these T&C, the Terms of Use or applicable law; or
infringement of third-party rights arising from materials supplied by the Client.
The Influencer shall similarly indemnify the Indemnified Parties in respect of non-compliant Deliverables, false or misleading claims made by the Influencer, and breach of disclosure obligations under Clause 6.
13. Limitation of Liability
Nothing in these T&C excludes or limits liability that cannot be excluded or limited under applicable law (including for fraud, gross negligence or wilful misconduct).
Subject to the above, and to the maximum extent permitted by law, Social Tweebs shall not be liable for any indirect, special, incidental, punitive or consequential loss, or any loss of profits, goodwill, data, anticipated savings or business opportunity, arising out of or in connection with a Campaign.
Social Tweebs’ total aggregate liability arising out of or in connection with any Campaign shall not exceed the Fees actually received by Social Tweebs for that Campaign (excluding amounts collected on behalf of and paid through to Influencers or third parties).
14. Term, Termination and Survival
These T&C apply from the date an Order is accepted and continue until the Campaign is completed, unless terminated earlier in accordance with these T&C or the Order.
Either party may terminate an Order for material breach that remains uncured for fifteen (15) days after written notice.
On termination, the Client shall pay for all services rendered and commitments made up to the date of termination.
Clauses relating to Fees accrued, intellectual property, confidentiality, indemnity, limitation of liability, and governing law survive termination.
15. Relationship of the Parties
Nothing in these T&C creates a partnership, joint venture or employment relationship between the parties. In the facilitation model, Social Tweebs acts as a facilitator and is not a party to the primary contract between the Brand and the Influencer. Influencers act as independent contractors and are not employees or agents of Social Tweebs.
16. Governing Law and Jurisdiction
These T&C shall be governed by and construed in accordance with the laws of India. The competent courts at Mumbai, Maharashtra, shall have exclusive jurisdiction over any dispute arising out of or in connection with these T&C, subject to any dispute-resolution mechanism specified in the applicable Order.
